Wholesale Agreement

DEFINITIONS

“Scatter Box” / “The Supplier” / “The Seller”
Refers to Abbeylands Furniture (Navan) Ltd, T/A Scatter Box, the company supplying the Goods.

“The Buyer” / “Stockist”
Refers to the person, partnership, firm, or company placing an order with Scatter Box.

“The Goods”
Refers to the products supplied by Scatter Box, as detailed in the Buyer’s order.

“The Order”
Refers to the request submitted by the Buyer for the supply of Goods.

Scatter Box reserves the right to amend these Wholesale Terms & Conditions at any time. Updated terms will take effect immediately upon publication on our website.

Scatter Box supplies Goods exclusively to verified retailers and resellers and requires proof of business trading before opening a wholesale account. The Supplier reserves the right to approve or decline any application at its discretion and may close accounts without prior notice where required.

Scatter Box may revise pricing, delivery guidelines, and general trading requirements from time to time.

1. PRICES & PRODUCT INFORMATION

  • All prices are exclusive of VAT.
  • VAT will apply to all EU deliveries unless a valid VAT number is provided prior to dispatch.
  • All sizes, colours, and finishes are approximate due to the handmade and textile nature of Scatter Box products.
  • Goods are intended for domestic use unless otherwise specified.

2. ORDERS

Delivery Lead Times

We endeavour to dispatch your order within 5-8 working days from receipt of order, with the exception of busy periods such as post trade shows and pre-Christmas.

We will only deliver to your stores or registered business address, and will not deliver direct to your customer.

Delivery Acceptance

The Buyer must ensure that authorised personnel are present to receive deliveries. Scatter Box reserves the right to charge for redelivery, storage, or associated costs if delivery is not accepted.

Scatter Box may adjust, partially deliver, or cancel orders where necessary, without prior notice, unless specific instructions are provided in writing at the time of ordering.

Order Cancellation

Orders may only be cancelled in writing within 24 hours of placing the original order.
Once Goods have left our warehouse, full delivery and return charges will apply.

Order Quantities

All products must be ordered in the pack/carton quantities outlined in product listings. Orders not aligned with pack quantities may be rounded up or down accordingly.

Terms of Supply

All Goods are supplied strictly under these Wholesale Terms & Conditions.
Any dispute shall be governed by Irish Law, with the Irish Courts having jurisdiction.

3. PAYMENT & CREDIT TERMS

  • Standard credit terms (where granted): 30 days from invoice date.
  • Accounts without credit approval operate strictly on a Pro Forma basis.
  • Credit limits are determined via credit checks.
  • Scatter Box may charge interest on overdue accounts.
  • All payments must be made in Euro or Sterling, as invoiced.
  • Credit card payments may incur a surcharge.

By applying for a credit account, the Buyer authorises Scatter Box to obtain and provide trade references as required.

4. DAMAGES & SHORTAGES

Upon delivery, the Buyer must:

  1. Inspect pallets/cartons for visible damage before signing the delivery docket.
  2. Clearly mark any issues as “Goods Damaged” or “Goods Missing” on both the carrier’s and Buyer’s copies of the delivery docket.
  3. Take clear digital photographs of any damaged packaging or Goods.
  4. Submit all claims within 7 days of delivery, including photos and full details.

Claims submitted after 7 days cannot be accepted due to carrier restrictions.

If these procedures are not followed, the Goods will be deemed accepted and free from defect. This does not apply to ex-works collections, where risk transfers upon collection.

6. ONLINE & SOCIAL MEDIA POLICY

The Buyer may not sell Scatter Box products on online marketplaces (e.g., Amazon, eBay) or social media platforms without prior written consent.

All product images, logos, and content on the Scatter Box website are protected by copyright.
Use of images for online or print marketing requires written approval from Scatter Box.

7. RISK

Risk passes to the Buyer:

  • Upon delivery to the agreed address; or
  • For ex-works orders, immediately upon collection by the Buyer’s nominated carrier.

8. TITLE & OWNERSHIP

Scatter Box retains full ownership of all Goods until:

  • Full payment has been received and cleared; and
  • No other outstanding payments are due.

Until title passes:

  • Goods must be stored separately and clearly identifiable as Scatter Box property.
  • On request, the Buyer must make unsold Goods available for return.
  • Scatter Box may enter the Buyer’s premises to recover Goods if required.

The Buyer must not use Goods as security for financial arrangements.
The Buyer must maintain adequate insurance on all Goods until ownership transfers.

9. LIABILITY

Scatter Box is not liable for any indirect or consequential loss resulting from:

  • Delayed delivery
  • Non-delivery
  • Damage in transit
  • Supply of defective Goods

This includes loss of profit, loss of opportunity, or business interruption.

NOTE

This Wholesale Agreement supersedes all previously issued terms.
Placing an order with Scatter Box constitutes acceptance of these Terms & Conditions.

No Buyer terms shall override this Agreement unless expressly agreed in writing by Scatter Box.
